There is new progress in the spin-off of Changan Automobile from the Ordnance Industry Group.
On June 23, Chongqing Changan Automobile Co., Ltd. (Changan Automobile, 000625) announced that it had received a notice from its controlling shareholder, China Changan Automobile Group Co., Ltd., that its name had been changed from "China Changan Automobile Group Co., Ltd." to "Chenzhi Automobile Technology Group Co., Ltd.", and the relevant industrial and commercial registration procedures had been completed and a business license had been obtained.
After the change, the registered capital of "Chenzhi Automotive Technology Group Co., Ltd." is 609,227.34 million yuan, and its business scope includes the design, development, manufacturing, and sales of automobiles, motorcycles, automobile and motorcycle engines, and automobile and motorcycle parts.
Changan Automobile stated that the above-mentioned industrial and commercial changes do not involve changes in the number and proportion of shares held by the shareholder, have no impact on the company's governance and production and operation activities, and will not lead to changes in the company's controlling shareholder and actual controller.
Public information shows that China Changan Automobile Group Co., Ltd. (hereinafter referred to as "China Changan") is a large-scale automobile enterprise under China North Industries Group Corporation (hereinafter referred to as "North Industries Group"). It was formerly known as China South Industries Automobile Co., Ltd., established in December 2005 and is located in Beijing.
The official website shows that Changan Automobile is one of the core enterprises of China Changan and one of the four major automobile groups in China. It has a 162-year history and 40 years of experience in automobile manufacturing. It has 14 manufacturing bases and 34 factories around the world. China Changan holds 17.99% of Changan Automobile's shares, and China North Industries Group Corporation holds 14.23%.
According to China Changan’s official WeChat public account, China Changan has established a number of companies named "Chenzhi", including Chenzhi Technology, Chenzhi Braking, Chenzhi Lightweight, etc., covering multiple fields of automotive technology.
Previously, the restructuring of Changan Automobile and Dongfeng Motor attracted widespread attention.
On February 10, China North Industries Group Corporation issued an announcement on planning a restructuring, stating that the company is planning a restructuring with other state-owned central enterprise groups. The restructuring may lead to significant changes in the company's financial situation, but will not have an adverse impact on the company's daily management, normal production and operation activities, and debt repayment ability.
On the morning of June 5, Changan Automobile issued an announcement that its parent company, China North Industries Group Corporation, received a notice from the State-owned Assets Supervision and Administration Commission of the State Council, and with the approval of the State Council, China North Industries Group Corporation will be split up. Its automobile business will be split up into an independent central enterprise, with the State-owned Assets Supervision and Administration Commission of the State Council performing the duties of the investor; the State-owned Assets Supervision and Administration Commission of the State Council will inject the equity of the split North Industries Group Corporation into China North Industries Group Corporation as capital contribution in accordance with the procedures.
This means that China Changan behind Changan Automobile will no longer belong to the China North Industries Group Corporation, but will become another central automobile enterprise at the same level as FAW and Dongfeng.
